Terms of Service

These Terms of Service ("Terms") govern your access to and use of NeuraNote, an AI-powered learning platform developed and operated by XALTRAX INC., a Delaware corporation ("Company," "we," "our," or "us").

By accessing or using NeuraNote at neuranotelabs.com, you agree to be bound by these Terms. If you do not agree, do not use our Service.

You must be at least 13 years old to use NeuraNote. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

By using NeuraNote, you represent and warrant that:

• You meet the age requirements above
• You will provide accurate registration information
• You will comply with all applicable laws and regulations
• Your use will not violate any third-party rights

To use certain features, you must create an account via Clerk authentication. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

Free Plan

• Limited features as described on our Pricing page
• May include attribution requirements for certain features
• Subject to fair use policies and rate limits

Paid Plans (Pro & Unlimited)

• Billed monthly or annually through Stripe
• Automatically renew unless cancelled
• No refunds for partial months (except as required by law)
• Prices subject to change with 30 days' notice
• Tax may be added based on your location

Cancellation

You may cancel your subscription at any time from your billing dashboard. Access continues until the end of your current billing period. No prorated refunds are provided upon cancellation.

You agree to use NeuraNote only for lawful purposes. You may NOT:

• Upload copyrighted content you don't have rights to
• Share your account with others or create multiple accounts
• Attempt to reverse engineer or hack our systems
• Use automated tools to scrape or abuse our Service
• Upload malware, viruses, or malicious code
• Use the Service to generate harmful, illegal, or offensive content
• Resell or redistribute our Service without permission
• Violate any applicable laws or third-party rights

Your Content

You retain ownership of all content you upload to NeuraNote (documents, notes, etc.). By uploading content, you grant us a limited license to:

• Process your content to provide AI features
• Generate embeddings and index your materials
• Store and display your content within your account

Important: We do NOT use your content to train external AI models. Your uploads remain private and are not shared with other users.

Our Platform

NeuraNote, including all software, design, text, graphics, and other content (excluding your uploads), is owned by XALTRAX INC. and protected by copyright, trademark, and other intellectual property laws.

NeuraNote uses artificial intelligence to generate notes, flashcards, quizzes, and other study materials. While we strive for accuracy through our evidence-first RAG approach:

• AI-generated content may contain errors or inaccuracies
• You are responsible for verifying AI outputs before relying on them
• We provide citations to source materials for fact-checking
• NeuraNote is a study aid, not a replacement for learning or professional advice

Academic Integrity: You are responsible for complying with your institution's policies on AI tools and academic honesty.

We may suspend or terminate your account immediately, without prior notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of our Service or other users
• Non-payment of fees
• Extended periods of inactivity

Upon termination, your right to access the Service ends immediately. We may delete your data according to our Privacy Policy.

We may update these Terms from time to time. Material changes will be notified via email or prominent notice on our website at least 30 days before taking effect.

Your continued use of NeuraNote after changes become effective constitutes acceptance of the updated Terms. If you disagree, you must stop using the Service.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes shall be resolved through binding arbitration in Delaware, except that either party may seek injunctive relief in court to protect intellectual property rights.

You waive any right to participate in class actions or class arbitrations against XALTRAX INC.
